Overgrad's Commitment to Your Privacy

We at Overgrad Inc. (“Overgrad,” “we,” or “us”) understand that privacy is important to our online visitors and registered users. This Privacy Policy explains how we collect, use and safeguard the information you may provide us via this Site (as defined below).

This Privacy Policy applies to information and data you may provide to us or we otherwise collect from you via our website www.overgrad.com and any of its subdomains (the “Site”). By using this Site, or voluntarily providing your information to us, you consent to the collection and use of all information as set forth in this Privacy Policy. If you do not agree to the terms of this Privacy Policy please do not provide us with any information.

This Privacy Policy does not apply to any information that may be collected by us other than via the Site (such as through an offline method). This Privacy Policy also does not apply to information about you collected by third party services, applications, websites or advertisements that Overgrad does not own or control. We encourage you to carefully review the privacy policies of any such third party services, applications, websites or advertisements you access and/or provide information to.

WHAT AND HOW WE COLLECT INFORMATION

We strive to be transparent in our data collection practices. This is the type of personal information we may collect about you.

When you set up your individual Overgrad account (“Account”) we ask for certain information, which may vary depending on the type of user you are. For example, if you are a student, when you set up your Account we may ask for information such as your name, school, graduation year, birth date, phone number and address. We may also collect your grade point average, courses, test scores and other information that will help connect you with colleges, universities and/or employers. Similarly, if you are an educator or an independent education consultant (an “IEC”), as applicable, we may ask for, among other items, your name, school or organization name, and we may also ask for your role at the school or organization, and/or certain other of your credentials.

In addition, the Site provides information on how to contact us electronically through email. Whenever you make such contact, you will be providing us with your name and contact information, such as email address, and any information you choose to include in the text of your message.

As part of the standard operation of the Site, we may also collect non-personal information from you related to your use of the Site. We collect this information so that we can better operate, maintain, and provide to you the features and functionality of the Site. For example, we automatically collect certain types of usage information when you visit our Site. When you visit the Site, we may send one or more cookies — a small text file containing a string of alphanumeric characters — to your computer that uniquely identifies your browser and lets Overgrad help you log in faster and enhance your navigation through the Site. A cookie may also convey information to us about how you use the Site (e.g., the pages you view, the links you click and other actions you take on the Site), and allow us to track your usage of the Site over time. We may collect log file information from your browser or mobile device each time you access the Site. Log file information may include anonymous information such as your web request, Internet Protocol (“IP”) address, browser type, information about your mobile device, referring / exit pages and URLs, number of clicks and how you interact with links on the Site, domain names, landing pages, pages viewed, and other such information. We may employ clear gifs (also known as web beacons) which are used to anonymously track the online usage patterns of our users. In addition, we may also use clear gifs in HTML-based emails sent to our users to track which emails are opened and which links are clicked by recipients. The information allows for more accurate reporting and improvement of the Site.

We may also collect analytics data, or use third-party analytics tools, to help us measure traffic and usage trends for the Site. These tools collect information sent by your browser or mobile device, including the pages you visit, your use of third party applications, and other information that assists us in analyzing and improving the Site.

MOBILE DEVICES

When you use a mobile device like a tablet or phone to access our Site, we may access, collect and/or monitor one or more “device identifiers.” We may use this data to help detect unauthorized access to your Account. Device identifiers are small data files or similar data structures stored on or associated with your mobile device, which uniquely identify your mobile device. A device identifier may be data stored in connection with the device hardware, data stored in connection with the device's operating system or other software, or data sent to the device by Overgrad. A device identifier may deliver information to us about how you browse and use the Site and may help us or others provide reports or personalized content. Some features of the Site may not function properly if use or availability of device identifiers is impaired or disabled.

GEO-LOCATION SERVICES

In the future, certain features of the Site may be made available based on where you are. If you tell us where you are (e.g., automatically by allowing your mobile device to send use your location), we may store and use that information to provide you with location based services. You should note that if we provide these features in the future, we will first ask your permission and, if at any time you want to deactivate this feature, you can deactivate GPS on your mobile device.

TRACKING

We do not engage in the collection of personally identifiable information about your online activities over time and across third party websites or online services. Accordingly, we do not currently process or comply with any web browser’s “do not track” signal or other mechanisms that provide consumers with the ability to exercise choice regarding the collection of personally identifiable information about your online activities over time and across third party websites. However, we may from time to time allow third party companies to collect certain non-personally identifiable information when you visit our Site.

HOW WE USE AND SHARE YOUR INFORMATION

Your privacy is important to us. As a website user, we strive to be transparent in our data use practices, and we only share your personal information in very limited circumstances.

Our Use of Information. We use the information we collect directly from you or receive about you to provide the services offered on our Site and to communicate directly with you. From time to time, we may send you emails containing newsletters. If you do not want to receive such email messages, you will be given the option to unsubscribe. We also use your information to send you Site-related emails (e.g., account verification, changes/updates to features of the Site, technical and security notices).

We may also use or may use the data collected through cookies, log files, device identifiers, and clear gifs information to: (i) remember information so that you will not have to re-enter it during your visit or the next time you visit the Site; (ii) provide custom, personalized content and information; (iii) to provide and monitor the effectiveness of our Site; (iv) monitor aggregate metrics such as total number of visitors, traffic, usage, and demographic patterns on our Site; (v) diagnose or fix technology problems; and (vi) help you efficiently access your information after you sign in.

Our Sharing of Information. We will not share information we receive about you with others unless we have: (i) received your permission; (ii) given you notice, such as by telling you about it in this Privacy Policy; or (iii) removed your name or any other personally identifying information from it. We do not sell or rent your personally identifiable information to third parties.

From time to time, we may share your information with other users of the Site that either (a) you have specified are your parents or counselor or (b) are your school’s or organization’s administrators.

If you are an IEC, the information you provide when creating or editing your IEC profile that is intended to be included in your IEC profile on the Site (e.g., full name, biography, image, services offered, rate) will be accessible to other users of the Site as well as visitors to the Site. Any such information provided and accessible to users and visitors of the Site may be indexed by search engines.

We will not sell or share your personal information to third-party organizations for their marketing or promotional use. We will not share personal information with other third-party organizations for any other use, without your consent or except as part of a specific program or feature for which you will have the ability to opt-in. You can grant us permission to share your personal information with authorized partners, not-for- profit organizations, and other entities that are not affiliated with us. In these cases, we will only provide to these third parties the information you have authorized or asked us to share to these third parties.

We may share your information with those that provide us with technology services (e.g. web hosting and analytics services), but strictly for the purpose of carrying out their work for us. We may also share in aggregate, statistical form, non-personal-information (including personal information that has been stripped of personally identifying characteristics) regarding the visitors to the Site, traffic patterns, and Site usage with third parties. In addition, we will disclose information we maintain, including personally identifiable information: (x) when required to do so by law, or may disclose such information in response to a request from a law enforcement agency or authority or any regulatory authority; (y) to protect the integrity of the Site or the interests, rights or property of Overgrad; or (z) to enforce the Site’s Terms of Use.

If we sell, divest or transfer the business or a portion of our business, your information may be transferred in connection with such a transaction. We may also transfer your personal information in the course of mergers, acquisitions, bankruptcies, dissolutions, reorganizations, liquidations, similar transactions or proceedings involving all or a portion of our business. In either case, this Privacy Policy will become binding upon the new owner of the information until amended.

HOW WE STORE AND PROTECT YOUR INFORMATION

We take strong measures to keep your data safe and secure.

Storing and Processing your Information. Your information collected through the Site may be stored and processed in any country in which Overgrad or its subsidiaries, affiliates or service providers maintain facilities (which may be outside the United States).

Keeping your Information Safe. Overgrad maintains strict administrative, technical and physical procedures to protect information stored in our servers. Access to information is limited (through user/password credentials and software systems) to those employees who require it to perform their job functions. We use industry-standard Secure Socket Layer (SSL) encryption technology to safeguard your information while signing up for and using your Account. Other security safeguards include but are not limited to data encryption, firewalls, and physical access controls to building and files. Please be aware, however, that internet data transmission is not always secure and we cannot and do not guarantee that information you transmit utilizing the Site is secure.

YOUR CHOICES ABOUT YOUR INFORMATION

You control your Account information and settings. You may update your Account information by signing onto our Site with your Account. You can opt-out of receiving promotional email from us by clicking on the “unsubscribe” feature at the bottom of each email. Remember, you cannot unsubscribe from Site-related messaging.

You may delete or disable cookies. You may be able to disallow cookies to be set on your browser. Please look for instructions on how to delete or disable cookies and other tracking/recording tools on your browser’s technical settings. Remember, disabling cookies may disable many of the features available on the Site, so we recommend you leave cookies enabled.

How long we keep User Content. Following termination or deactivation of your Account, Overgrad may retain your profile information and content as necessary for backup, archival, or audit purposes, as well as to comply with our legal obligations, resolve disputes and enforce our agreements. If you would like your data removed immediately after Account termination please contact support@overgrad.com. Please note, however, that a copy your confidential information may persist in backup copies for a reasonable period of time, or as an electronic “footprint” on an ongoing basis, but in either situation will not be generally available to us.

CHILDREN’S PRIVACY

We do not direct the Site to, nor do we knowingly collect any personal information from students under the age of 13.

Overgrad does not knowingly collect or solicit any information from anyone under the age of 13. If you are under the age of 13, do not use the Site. If we learn we have collected personal information of a student under the age of 13, we will delete that information as soon as possible. Please contact us at support@overgrad.com if you believe we have inadvertently collected information from a student under the age of 13.

LINKS TO OTHER WEB SITES AND SERVICES

We are not responsible for the practices employed by websites, applications or services linked to or from our Site. Please remember to check the privacy policies of other sites, applications or before sharing your personal information.
